OK. You don't actually have the kernel-source package installed and that
is the one that contains all the headers that vmware wants. To install
the correct one do:
yum install kernel-source-2.4.21-20.0.1.EL
The 2.4.20 headers that vmware is finding are probably left lying around
from an old install. The kernel source is installed in /usr/src, so you
should look in there and you will probably see the directory
linux-2.4.20.
