As I was typing up the proposed changes to send to Jessica for the mail-out, I realized there was another section of Article VI that needs amending.  I'm including it below (see (2) Article VI (b)) for your perusal. If there are objections / concerns, let's get the discussion out of the way soon so that Jessica can send out the meeting notice well in advance of the August meeting.  Sorry for the oversight and added confusion.

Proposed changes to the Articles of Incorporation:

(1)  Article VI (a) to read:
The corporate powers and management of the corporation shall be vested in and exercised by a Board of Directors of six (6) members composed of three (3) members from each of the following groups: (1) Public Library employees; and  (2) Academic, School, Special, and Other Members.

(2) Article VI (b) to read :

Election of the Directors may be at a meeting or by mail and will be held annually in the fall for appointment beginning January 1 of the following year. Any unexpired term occurring among the Directors by death, resignation, or otherwise shall be filled by election by the remaining members of the Board.

Terms of office shall be for two-year, commencing with the election. 
Terms of office for the first election will be as follows: Each group will elect one member to a one-year term and two members to a two-year term. Thereafter all will be elected to a two-year term except those selected to fill a vacant position, who will serve the remainder of the unexpired term.
