I don't think x86_64 is the correct arch for P4 Xeon processors. You
should be using i686 kernel. X86_64 is used for the AMD64 processor.
You should also be using the smp kernel. So your kernel should be:
kernel-smp-2.4.21-20.EL.i686.rpm
