I've spent quite a bit of time on the phone with the Redhat folks,
discussing upgrading from RH 9.0 to RHEL WS. One of the issues is the
fact the kernel is differant and requires differant utilities.

The other differance is the large variety of packages that have been
"tweaked" such as apache. There are so many little changes that you are
almost quaranteed enough "trivial" problems to result in an unstable
system.

I just went ahead and did a fresh install -and I had very good results.
In fact the disk I/O was so much faster I was shocked...

RHEL3 is something between RH9 and Fedora Core 1.

Possibly will yum work. But RH's people never tested this upgrade so you
have been warned :-)
